Le passage en société est en premier lieu à l'origine de l'obtention de l'autonomie patrimoniale qui permet, d'une part, de limiter la responsabilité du chef d'entreprise au montant de ses apports dans l'hypothèse d'une société de capitaux ou d'une société hybride et, d'autre part, de faciliter grandement la transmission de l'entreprise sous forme sociétaire. La personnalité morale permet de séparer nettement patrimoine professionnel et patrimoine non professionnel. Le sort de l'un ne dépend plus alors du sort de l'autre. Un autre intérêt de la personnalité morale est d'obtenir une certaine autonomie décisionnelle. Cette dernière demeure tout de même encadrée puisque le dirigeant de société est le mandataire des associés ou des actionnaires suivant le cas, et il doit donc toujours agir dans l'intérêt social. Interest of the legal entity The setting up of a company is firstly at the origin of obtaining the patrimonial autonomy which makes it possible on the one hand to limit the responsibility for the head of company at the moment of its contributions on the assumption of a private limited company or a public limited company and on the other hand to largely facilitate the transmission of the company in form member. The legal entity allows to separate professional inheritance and non-professional inheritance clearly. The fate of the one does not depend then any more on fate of the other. Another interest of the legal entity is to obtain a certain decisional autonomy. This autonomy remains framed all the same since the leader of company is the agent of associated or of the shareholders according to the case and it must thus always act in the social interest.
