Reprenant la problématique soulevée par Coase dans son article de 1937, nous nous interrogeons dans ce texte sur la question des frontières de la firme, en analysant une forme organisationnelle spécifique, la firme-réseau. Dans une première partie, nous étudions le fonctionnement de la firme-réseau, et notamment les dispositifs d'incitation et de coordination qu'elle renferme. Dans la deuxième partie, nous montrons que le fonctionnement de la firme-réseau remet en cause certains enseignements de la théorie des coûts de transaction et de la théorie des contrats incomplets quant à l'impact de la propriété sur les incitations à l'investissement. Par ailleurs, retenant une problématique d'organisation de la production, nous pensons que la firme-réseau doit être considérée comme une forme d'organisation spécifique, différente du marché et de la firme. Going back to the initial question raised by Coase in his 1937 article, we discuss in this paper the firm boundary problem by analyzing a specific organizational form, the network-firm. We first focus on the functioning of the network-firm, taking a specific interest in the incentive and coordination devices it has to offer. We then show how the functioning mechanism of the network-firm challenges certain insights gained from transaction-cost and incomplete contracts theory, namely the impact ownership can have on investment incentives. Finally, regarding the organization of production, we show that the network-firm must be considered as a specific organizational form, distinct both from the market and from the firm.
